• Promotional Activities (e.g., newsletters, press releases, social media posts)
• Members-only Events
• Enhanced Visibility through Targeted Communication Channels

3. Fees and Payment

Membership fees are charged annually, are non-refundable, and must be paid in advance. Fees are subject to change with notice.

4. Member Conduct and Obligations

• Members must ensure all information provided is accurate, complete, and updated regularly.
• Members agree to conduct all activities ethically and in compliance with applicable laws.
• Members are responsible for performing due diligence on any business opportunities or partnerships facilitated through Silent Rich.
• Members must adhere to all relevant compliance and legal standards outlined by Silent Rich, including Compliance and Legal Standards.
• Members accept full responsibility for compliance with all applicable laws, regulations, and standards relevant to their specific business activities, including but not limited to broker-dealer requirements and securities laws.

5. Specific Compliance for Broker-Dealer Activities

• Members engaged in broker-dealer activities must ensure they are fully compliant with all relevant securities laws and regulations, including those enforced by the Securities and Exchange Commission (SEC) and the Financial Industry Regulatory Authority (FINRA).
• Such members must maintain all necessary licenses and registrations required to perform their activities legally.
• Members are responsible for all regulatory filings, disclosures, and adherence to anti-money laundering (AML) and know-your-customer (KYC) requirements.

6. Confidentiality and Privacy

Members must respect the confidentiality of information exchanged through Silent Rich and adhere to privacy laws. Confidential information must not be disclosed without proper authorization.

7. Intellectual Property Rights

• All content on Silent Rich’s platforms, including text, graphics, logos, and software, is the property of Silent Rich and is protected by intellectual property laws.
• Members grant Silent Rich a non-exclusive, worldwide, royalty-free license to use, display, and distribute their logos, trademarks, and other intellectual property submitted to the site for the purpose of providing Membership Services.

8. Content Control and Membership Termination

• Silent Rich reserves the right to modify, refuse, or remove any member content at its discretion.
• Silent Rich may terminate a membership without prior notice for any breach of these terms.
• Members may terminate their membership at any time; however, fees are not refundable.

9. Limitations of Liability

Silent Rich is not liable for any direct, indirect, incidental, special, or consequential damages resulting from the use or inability to use the services.

10. Indemnification

Members agree to indemnify and hold harmless Silent Rich and its affiliates, officers, agents, employees, and partners from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of the Member’s use of Silent Rich services, violation of this Agreement, or violation of any rights of another.

11. Dispute Resolution

• Any disputes arising under this agreement will be settled by binding arbitration in accordance with the American Arbitration Association.
• Silent Rich retains the right to seek injunctive relief for any violation of this agreement.

12. Anti-SLAPP and Countersuit Rights

Silent Rich retains the right to pursue a countersuit for treble damages against any member initiating a frivolous lawsuit or a claim that blatantly violates this agreement.

13. General Provisions

This agreement represents the entire agreement between the parties. Amendments must be in writing and signed by both parties.
